Terms of Service

By accessing this website or engaging the services of Celestial Canvas, you agree to be bound by these Terms of Service. Please read them carefully. These terms govern the relationship between Celestial Canvas ("we," "us," "the Studio") and any visitor, prospect, or client ("you," "the Client").
1. Services
Celestial Canvas provides premium content production and strategy services on an exclusive 1-on-1 retainer basis. Services include but are not limited to video editing, motion graphics, content strategy, platform SEO, scripting, thumbnail creation, automation system setup, and multi-platform content distribution.
The exact scope of services for each client engagement is defined in a separate Service Agreement signed prior to onboarding. These Terms of Service govern the general relationship and this website's use.
2. The $100 Pilot Project
New client relationships begin with a $100 Pilot Project. By paying the Pilot Project fee, the Client acknowledges and agrees to the following:
The $100 fee is charged for a single produced video deliverable
The fee is fully credited toward the first month of retainer if the Client proceeds
A full refund is issued if the Client is not satisfied with the deliverable
The Client retains ownership of the produced video regardless of whether a retainer is established
The Pilot Project applies only to individual CEOs, Founders, and Business Owners — not to companies or agencies acting on behalf of others
3. Payment Terms
All retainer payments are due upfront and in full before any work begins. This applies to all contract lengths including 2-week trials, monthly, and multi-month agreements. Work commences only after payment is confirmed and reflected in the Celestial Canvas account.
Discounts for extended commitments are as follows: 3 months — 3% off, 6 months — 5% off, 9 months — 8% off, 12 months — 10% off. Discounts apply to total contract value.
Celestial Canvas reserves the right to pause or terminate services if payment obligations are not met. No refunds are issued for completed work.
4. Client Responsibilities
The Client agrees to:
Provide all necessary raw materials, footage, brand assets, and access required for production in a timely manner
Respond to review requests and feedback rounds within agreed timeframes
Communicate through agreed channels (Slack, email, or Zoom)
Not share proprietary systems, frameworks, or workflows delivered by Celestial Canvas with third parties
Provide accurate information during onboarding and throughout the engagement
5. Intellectual Property
Upon full payment, the Client owns the final deliverables produced under their retainer. Celestial Canvas retains the right to use completed work for portfolio, case study, and promotional purposes unless the Client requests otherwise in writing prior to project commencement.
All proprietary systems, automation workflows, scripting frameworks, and strategic methodologies developed by Celestial Canvas remain the intellectual property of Michael James Pangilinan and Celestial Canvas.
6. Confidentiality
Both parties agree to maintain the confidentiality of any sensitive business information shared during the engagement. Celestial Canvas will not disclose client-specific data, financials, or strategy to third parties without written consent.
7. Results Disclaimer
Celestial Canvas provides content production and strategy services. While our track record includes significant results for past clients, we make no guarantees of specific outcomes, revenue increases, subscriber growth, or business results. Results depend on a variety of factors including market conditions, client effort, and implementation.

8. Termination
Either party may terminate the engagement at the end of the current contract term with written notice. Early termination by the Client does not entitle them to a refund of prepaid retainer fees. Celestial Canvas reserves the right to terminate an engagement immediately in cases of non-payment, breach of these terms, or conduct that is abusive or harmful.
9. Limitation of Liability
To the maximum extent permitted by law, Celestial Canvas and Michael James Pangilinan shall not be liable for any indirect, incidental, or consequential damages arising from the use of services or this website. Our total liability shall not exceed the total fees paid by the Client in the 30 days preceding the claim.
10. Governing Law
These Terms of Service are governed by the laws of the Republic of the Philippines. For clients based in the United States, both parties agree to attempt dispute resolution through good faith negotiation before pursuing legal remedies. Nothing in these terms limits the rights of either party under applicable consumer protection laws.
11. Changes to These Terms
Celestial Canvas reserves the right to update these Terms at any time. Active clients will be notified of material changes via email. Continued use of services after notification constitutes acceptance of the updated terms.
